What the Meliá Licence Binds at Handover

The Meliá Residences Miami sales sheet makes The Sol Group a franchisor only. Visions At Brickell Station LLC carries development, operation and sales, and the licence has no stated term.

Three companies, one building, three roles

The sales sheet for Meliá Residences Miami names three companies. Visions At Brickell Station LLC appears as Franchisee and is described as the sole developer and owner of the project. The Sol Group, Corp and its group of companies appear as franchisor. Meliá Residences Miami LLC appears in the Fair Housing line at the foot of the same page.

The market tracker lists Meliá Hotels & Resorts among the project developers. The sales sheet assigns the brand the franchisor role and assigns investment, development, construction, operation, marketing and sales to the Franchisee.

What the franchise paragraph binds

The paragraph states that The Sol Group, Corp acts solely as the franchisor and is not the developer, seller, operator or offeror of any branded residences. It states that the company makes no representation or warranty regarding those residences. It states that the branded residences will be operated by the Franchisee under the Meliá brand.

Those three sentences fix the boundary at handover. The brand supplies a name and a licence. The Franchisee carries construction, operation and sales. No clause in the document makes the brand a party to a purchase agreement.

The service list as the sales sheet prints it

The sheet lists 15 services to guests: 24/7 security, bellman, branded bicycles, 24/7 check-in, concierge services, daily housekeeping, keyless access, laundry services, luggage storage, optional early check-in and late check-out, room service, shuttle transportation, sole administration, valet parking and wifi.

It lists six building amenities: a wellness centre, a restaurant and bar with outdoor terrace, a rooftop panoramic jacuzzi, interactive gym equipment, a business centre and a high-ceiling lobby. It lists 11 wellness components: Brain Tap therapy, a circadian alarm clock, circadian lighting bulbs, a cold dip tub, environmental probiotics, grounding bed mattress pads, an infrared sauna, natural aroma diffusers, natural infusions, a serenity massage space and a vitamin C shower filter.

The sheet describes the operating model in one sentence. Owners will have the opportunity to maximise their results by participating in a professionally managed hotel program. The project site states that an independent management company engaged by the Developer will manage the hotel on the Developer's behalf. No document on this record names that company, a rental split, an occupancy figure or a staffing level.

The name can leave before the last unit closes

The Franchisee uses the Meliá brand and trademarks under a limited, non-exclusive, non-transferable licence granted by The Sol Group, Corp. The sheet states that the licence may be terminated or may expire without renewal. It states that the branded residences will then no longer be associated with the Meliá brand.

A buyer takes a unit inside a building whose brand association carries an expiry condition. The document sets no term length and no renewal commitment. A markets desk underwriting this asset holds a licence of undefined duration.

Sole administration and the shuttle line

Two items on the service list imply a standing operating entity. Sole administration implies an administrator for the building. Shuttle transportation implies a vehicle, a route and a driver. The sheet names no provider for either.

Daily housekeeping, room service and 24/7 check-in carry the same gap. Each requires staff on site after handover. The record commits to the service list and leaves the operator unnamed.

A search of the project website and the full sales sheet returns no entry for coach, bus, loading, drop-off, group, meeting or conference.

Who signs the purchase agreement

The sheet states that The Sol Group, Corp is not a party to any agreement entered into with purchasers of the branded residences. It states that the company has no direct or indirect relationship with those purchasers. It states that the company does not guarantee and makes no representations regarding financial returns, income, rental programs, economic performance or investment outcomes.

The purchaser counterparty is the Franchisee. Rental program terms sit outside the brand documents on this record.

Two documents and one instruction in writing

The sheet advises that oral statements should not be solely relied upon as the official representations made by the developer. It directs buyers to the documents required by section 718.503 of the Florida Statutes, which a developer must provide to a buyer or lessee. It states that pricing is subject to change without prior notice.

A buyer who wants an assurance about the brand, the management contract or the service list has first-party instruction to obtain it in writing. The document sets that standard on its own page.

The same page covers environmental certification. The project is registered with the U.S. Green Building Council and is in the process of obtaining LEED Silver certification. Use of the LEED Silver logo rests on the anticipated status, and final certification remains subject to USGBC review and approval.

What a markets desk should underwrite at delivery

The physical programme is recorded across three sources. The tracker card carries 110 units, 8 floors, a 2025 start, a 2027 completion and 14 months to delivery, verified 19 October 2026, at 1120 SW 3rd Avenue in Brickell.

The tracker names Urban Network Capital Group, Meliá Hotels & Resorts and Concepto Capital Group as developers. It names Concepto Taller de Arquitectura and DTI Architects as architects and Adriana Hoyos Design Studio for interiors. Florida YIMBY carries the top-off date of 21 May 2026 and a $30 million construction loan arranged by Concord Summit Capital.

Handover delivers turnkey furnished residences with the amenity set and the service list attached. It also delivers a brand licence with no stated term. The commitments that bind the developer at delivery are the 110 units, the amenity and service schedule, the 2027 completion and the operating obligation the sheet assigns to the Franchisee.

A markets desk pricing this asset should carry the residence value and the brand value as two lines. The first rests on a Brickell address with a recorded unit count, floor count and completion year. The second rests on a licence that may terminate without renewal.
